VENDOR TERMS OF SERVICE
Acceptance of Terms:
By submitting a listing for your business on our website, you (“Vendor”) accept and agree to be bound by these Terms of Service (the “Terms”).
Definitions:
a. “Our Website” means the PickAProxy.com website, where Vendor listings are displayed.
b. “Listing” refers to the information provided by us, the public or by the Vendor about their business, including but not limited to: name, address, phone number, email, website, description, and any other relevant details.
Listing Submission:
a. The Vendor is responsible for ensuring the accuracy and completeness of all submitted information.
b. We reserve the right to reject or remove any listing that does not meet our standards or guidelines at any time without notice.
c. Listings can include any information provided by you to us through an online interface, email, telephone or on-line conference or meeting tools.
Payment and Fees:
a. There is no fee to be listed on our site, however we do have affiliate relationships with some of the vendors we list.
b. Vendors cannot ‘buy’ better rankings.
c. Vendors may be able to purchase ads.
d. Having an affiliate program does not guarantee your site will be listed or recommended.
e. Likewise, we reserve the right to list sites that don’t have affiliate programs.
Intellectual Property:
a. The Vendor retains ownership of all intellectual property rights related to their business and listing information.
b. By submitting a Listing, the Vendor grants Us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, display, distribute, and transmit the content solely for the purpose of providing Our Website services.
Warranties and Representations:
a. The Vendor represents and warrants that their listing information is accurate, complete, and not misleading. The Vendor agrees to notify us if they find any inaccurate information that might mislead our users.
b. The Vendor agrees to indemnify Us against any claims, damages, or losses arising from their breach of warranties and representations.
c. Likewise, if our web site contains information that you do not believe is fair or accurate, you may notify us at support@pickaproxy.com. We will work with you to understand your position, gather additional information if needed and rectify any errors.
Termination:
a. We reserve the right to terminate this agreement at any time without notice.
b. Upon termination, the Vendor’s listing will be removed from Our Website.
Limitation of Liability:
a. We shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or related to these Terms.
Governing Law and Jurisdiction:
a. These Terms are governed by and construed in accordance with the laws of Colorado, USA.
Entire Agreement:
a. This agreement constitutes the entire understanding between the parties relating to the subject matter herein, superseding any prior or contemporaneous agreements or understandings.
Amendments:
a. We reserve the right to modify these Terms at any time without notice. Any changes will be effective immediately upon posting on Our Website.
By submitting your business listing to us, you signify your acceptance of these Terms of Service and agree to be bound by them. If you do not accept these terms, please do not submit a listing on our website.
